These Terms of Use (this "Agreement" or "Terms") constitute a legally binding contract between you, whether an individual or an entity ("User," "you," or "your"), and VortexGames INC., an Ohio corporation with its principal place of business at 9435 Waterstone Boulevard Suite 140, Cincinnati, OH 45249 ("VortexGames," "Company," "we," "us," or "our").
These Terms govern your access to and use of our websites, mobile applications, casual games, software, and all related products and services (collectively, the "Services"). By downloading, installing, accessing, browsing, or otherwise using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions set forth in this Agreement.
IF YOU DO NOT AGREE TO THESE TERMS IN FULL, YOU ARE NOT PERMITTED TO USE THE SERVICES. YOUR CONTINUED USE OF THE SERVICES CONSTITUTES UNCONDITIONAL ACCEPTANCE OF THESE TERMS AND ANY FUTURE AMENDMENTS.
1. THE CONTRACTUAL RELATIONSHIP
This Agreement creates a legal relationship between you and VortexGames. It applies to all users, including visitors, registered users, and purchasers of in-game content. No modification or waiver of any provision of this Agreement shall be valid unless in writing and signed by an authorized representative of VortexGames.
2. ELIGIBILITY AND PARENTAL STEWARDSHIP
2.1 Minimum Age and Legal Capacity
The Services are intended for a general audience but are not directed to children under the age of 13. By using the Services, you represent and warrant that you are at least 13 years of age. If you are at least 13 but have not reached the age of majority in your jurisdiction (typically 18 or 21), you may use the Services only under the supervision and with the consent of a parent or legal guardian who agrees to be bound by these Terms.
2.2 Responsibility of Guardians
Parents and legal guardians are solely responsible for their minor children's use of the Services, including all conduct, purchases, and compliance with these Terms. By consenting to these Terms on behalf of a minor, you accept full financial and legal responsibility for the minor's use of the Services.
2.3 Verification and Right to Terminate
VortexGames reserves the right to request proof of age or parental consent at any time. We may use registration forms, payment verification, or thirdparty identity services to verify eligibility. If we reasonably believe you do not meet age requirements or lack valid consent, we may suspend or terminate your access immediately.
3. ACCOUNT REGISTRATION AND SECURITY
3.1 Creating an Account
To access certain features, you may need to register for a user account ("Account"). You agree to provide only true, accurate, and complete information. You may not:
Impersonate any person or entity;
Use an offensive, vulgar, or infringing username;
Create multiple accounts to exploit game mechanics or avoid restrictions.
3.2 Confidentiality and Access
Your Account is personal and nontransferable. You are solely responsible for maintaining the confidentiality of your login credentials, including passwords and social media tokens. You agree to:
Keep your password secure;
Not sell, share, or lease your Account;
Notify us immediately at [email protected] if you suspect unauthorized access.
3.3 Account Liability
You are responsible for all activity under your Account, whether authorized or not. VortexGames is not liable for losses resulting from your failure to protect your login information.
4. LIMITED SOFTWARE LICENSE
4.1 Grant of License
Subject to your compliance with these Terms, VortexGames grants you a personal, nonexclusive, nontransferable, nonsublicensable, revocable limited license to access and use the Services for your personal, noncommercial entertainment purposes only.
4.2 Restrictions
You may not, and may not allow others to:
Reproduce, modify, distribute, or create derivative works of the Services;
Reverse engineer, decompile, or extract source code;
Remove or alter copyright, trademark, or proprietary notices;
Use the Services for commercial purposes;
Sublicense, rent, or lend access to the Services.
4.3 Ownership
All right, title, and interest in the Services, including all intellectual property rights, are and remain the exclusive property of VortexGames and its licensors. The Services are licensed, not sold.
5. INGAME UTILITY ITEMS AND TOKENS
5.1 Scope
The Services may include virtual items such as tokens, points, skins, powerups, and cosmetic content (collectively "InGame Utility Items").
5.2 NonMonetary Nature
You acknowledge that InGame Utility Items:
Have no realworld monetary value;
Do not represent personal property or stored value;
Cannot be redeemed for cash, currency, or other compensation;
Are licensed under the same revocable terms as the Services.
5.3 External Transfers Prohibited
Selling, trading, or transferring InGame Utility Items or Accounts outside the official game environment is strictly prohibited and constitutes a material breach of these Terms, which may result in permanent Account ban and forfeiture of all items.
5.4 Management Rights
VortexGames may modify, adjust, or remove InGame Utility Items at any time, for any reason, without notice or liability.
6. USER CONDUCT AND COMMUNITY STANDARDS
You agree not to engage in any prohibited conduct, including:
Harassment, bullying, threats, or hate speech;
Defamatory, obscene, pornographic, or offensive content;
Cheating, botting, hacking, or using unauthorized thirdparty software;
Exploiting bugs or glitches to gain an unfair advantage;
Impersonating VortexGames staff or other users;
Spamming, advertising, or distributing unsolicited content.
We may monitor activity using automated and manual tools. We reserve the right to suspend or ban accounts for harmful conduct. You may not interfere with server stability or attempt unauthorized data mining.
7. INTELLECTUAL PROPERTY RIGHTS
7.1 Company IP
All game code, artwork, characters, music, logos, and content are the exclusive property of VortexGames and protected under U.S. and international copyright, trademark, and trade secret laws.
7.2 UserGenerated Content
By submitting User Content (e.g., chat, profiles, fan art), you grant VortexGames a perpetual, irrevocable, worldwide, royaltyfree, sublicenseable right to use, reproduce, modify, and distribute such content. You represent that you own all rights to your User Content.
7.3 Feedback
Any feedback you provide may be used by VortexGames without compensation or obligation.
8. COPYRIGHT PROTECTION AND NOTICES
If you believe your copyright has been infringed on the Services, send a written infringement notice to [email protected] containing:
Signature of the copyright owner or authorized agent;
Identification of the copyrighted work;
Identification and location of infringing material;
Your contact information;
Goodfaith belief statement;
Under penalty of perjury, that the information is accurate.
